By accessing or using the Paltrix website at paltrix.ai (the "Site") or any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are prohibited from using the Site and must discontinue use immediately.

2. Description of Services

Paltrix provides an AI-powered supply chain intelligence platform that integrates data from enterprise systems (WMS, OMS, TMS, ERP, WES, YMS) to deliver unified visibility, optimization recommendations, and operational automation. The scope, configuration, and commercials of the platform are governed by separate written agreements with enterprise customers.

3. Use of the Site

You agree not to use the Site to:

• Scrape, crawl, or systematically collect data without express written permission
• Attempt to gain unauthorized access to any portion of the Site or its related systems
• Transmit any material that is unlawful, harmful, threatening, abusive, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
• Use the Site for any commercial solicitation without prior written approval from Paltrix

4. Intellectual Property

The Site and its original content, features, and functionality — including but not limited to all text, graphics, logos, icons, images, and software — are owned by Paltrix and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

5. Disclaimer of Warranties

The Site is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Paltrix does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Paltrix, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunity — arising from your use of or inability to use the Site. In no event shall Paltrix's total liability to you exceed the greater of $100 or the total amounts paid by you to Paltrix in the twelve (12) months preceding the claim.

The Site may contain links to third-party websites or services that are not owned or controlled by Paltrix. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. 9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the City of Buenos Aires, Argentina, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Buenos Aires, Argentina.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Site and supersede and replace any prior agreements we might have between us regarding the Site.

11. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and Paltrix concerning your use of the Site and supersede all prior understandings or agreements.
